The Board of Directors of the Casco Antiguo Society, held today, December 28, a meeting in which it has been agreed to begin the liquidation process of the company.
A dissolution procedure that will be carried out in an orderly manner, so that it is expected to finish the process that now begins at the end of 2018. A decision already advanced by the mayor of Cartagena, Ana Belén Castejón, asked by the media this same tomorrow, which is taken according to technical reports of municipal officials.
The approved dissolution proposal contemplates the following procedure:
That the company does not initiate new actions or projects, considering that it is not necessary to designate a new manager of the company.
The professionals of the society will prepare the following questions: the inventory of all the stocks and the balance sheets of the company.
In this period the signature to pay payroll of employees and conclude the works and projects in process will be that of the chairman of the Board of Directors or the CEO, personalized this last in the counselor and councilor of Finance, Isabel García, as it is the process preparatory settlement.
The preparation and submission to the Board's approval of a budget for the 2018 financial year in accordance with the agreement reached.
These actions must be completed by April-May 2018, at which time the Board of Directors must propose -or not- the liquidation of the Company to the General Shareholders' Meeting, the Plenary Session of the City Council, which, if accepted, will imply the dissolution of the Board of Directors and the appointment of the Liquidation Commission, as established by the Public Limited Companies Act and the Company's Bylaws.
From that moment, the corresponding procedures will have to be followed, with the appointment in case of opting for the liquidation of a five-member liquidation commission in which the signature of the 'Society in Liquidation' will fall.
Said Commission will conclude the actions that may be pending and will proceed to the transfer of balance sheets and inventory to the City Council as the only partner of the Cartagena Casco Antiguo Society.
The City of Cartagena will incorporate into the Municipal Inventory the assets and stocks belonging to Casco Antiguo in the terms established by its technicians.
Additionally, the City Council, in the contracts that continue in execution, will succeed Casco Antiguo in its rights and obligations for which it must enable in its budgets the budgetary credits necessary to face, in particular, the banking obligations of the Company from May 2018, because up to that date the company's forecast is solvency.
Regarding the civil servant and labor personnel assigned to the Company, if the dissolution takes place, it is considered that they must be removed from it and registered in the Social Security contribution code corresponding to the City of Cartagena, keeping their current contractual conditions. and labor.
ECONOMIC SITUATION OF ANCIENT HELMET
The debt of the company, which amounted to 17,450,000 euros in September 2015, has become fixed at 31 December 2017 at 10,200,000 euros, reducing the debt at banks by more than 7,250,000 euros in the last two years.
Interest has been paid for a figure of around 650,000 euros, the debt has been refinanced and the average interest rate of the debt has been lowered from 5% to 1.25%, in addition to the updating of the payments in relation to the reviews of judicial cases for expropriations for an amount close to one million euros.
To questions from the media, the mayor said this morning that the City already has foreseen in the draft budgets of 2018 the debt of the society that would assume the Consistory.
